bigtechcalc.com is an arithmetic modelling tool. It calculates the consequences of assumptions that you supply. It does not know your circumstances, it does not recommend any course of action, and nothing it outputs constitutes financial, tax, legal, investment or career advice.
PEFG, PLLC is not a registered investment adviser, broker-dealer, tax preparer, or law firm, and no advisory, fiduciary or attorney-client relationship is created by your use of this site. Before acting on any figure produced here, consult a qualified professional who can review your actual offer documents and personal situation.
3. All figures are gross and are not predictions
Every number this tool produces is gross, before any tax. Restricted stock units are ordinary income at vest, valued at the vest-date share price, and are typically subject to statutory supplemental withholding that may sit below your marginal rate. Your actual take-home will be materially lower than the totals shown.
Projections are not forecasts. Share price paths are modelled as a constant compound rate with no volatility. Past performance does not indicate future results. Real outcomes will differ, and they may differ by a great deal.
4. Vesting schedule templates
The vesting schedule templates offered in the calculator are editable examples provided for convenience. They are not statements of any named employer's current or historical equity policy, and such policies change without notice. You are responsible for entering the terms set out in your own offer letter and equity award agreement.
5. No warranty
The site is provided "as is" and "as available", without warranty of any kind, express or implied, including without limitation any warranty of merchantability, fitness for a particular purpose, accuracy, or non-infringement. We do not warrant that the site will be uninterrupted, error-free, or that any calculation is free of defect.
6. Limitation of liability
To the maximum extent permitted by law, PEFG, PLLC and its members, officers and agents shall not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for any loss of profits, income, employment opportunity, or data, arising out of or relating to your use of or inability to use this site, whether based in contract, tort, strict liability or otherwise, even if advised of the possibility of such damages. Our aggregate liability for any claim relating to this site shall not exceed one hundred United States dollars (US$100).
Some jurisdictions do not allow the exclusion of certain warranties or the limitation of liability for certain damages. In those jurisdictions our liability is limited to the greatest extent permitted by law.
7. Third-party content and advertising
The site displays third-party advertising and may retrieve market data from third-party providers. We do not control, endorse, or accept responsibility for third-party content, products, services, or the accuracy of third-party market data. Your dealings with advertisers are solely between you and them.
8. Acceptable use
You may use the calculator for your own personal or internal business purposes, including generating and keeping exports. You may not scrape the site at volume, resell access to it, circumvent or interfere with advertising, or reproduce it as a substantially similar service. The site's name, layout, written content and source code are the property of PEFG, PLLC.
9. Governing law
These terms are governed by the laws of the State of Illinois, without regard to its conflict of laws provisions. Venue for any dispute lies in the state or federal courts located in Kendall County or Cook County, Illinois.
10. Changes
We may revise these terms. Continued use of the site after a revision constitutes acceptance of the revised terms.
